Corporate Governance Division
Corporate Governance Division (CGD) is responsible for providing support to the CCO, as the designated Corporate Governance Executive of PNB, in the effective implementation of the governance framework. CGD monitors corporate governance regulations and guidelines issued by the Bank’s regulators, such as SEC and BSP, and interprets the same to properly identify its impact to the Bank’s governance structure and practices. CGD also monitors compliance with respect to the Bank’s participation in regional corporate governance initiatives jointly sponsored by the SEC, PSE and ICD such as the ASEAN Corporate Governance Scorecard and Bell Awards.
Moreover, CGD also oversees the Related Party Transactions (RPTs) compliance of PNB. The Division assists the Board Oversight RPT Committee (BORC) to ensure RPTs are conducted on an arm’s length basis.
